Tokheim Sofitam Applications buys Lithuanian and Latvian subsidiaries of A. Rohé Holding

SORAINEN Lithuania and Latvia advised Tokheim Sofitam Applications (Tokheim), a leading world manufacturer and service provider of fuel dispensing and automation equipment, on its purchase of the Lithuanian and Latvian subsidiaries of A. Rohé Holding (Rohé), a petrol-station maintenance company.

Following the March 2009 bankruptcy of Rohé, numerous international competitors sought to purchase Rohé's subsidiaries in 19 countries. Tokheim succeeded in securing the most prominent Rohé subsidiaries in Romania, Bulgaria, Serbia, Lithuania and Latvia. The transaction was managed by Wolf Theiss, one of the leading law firms in Central and Eastern Europe.

Transactions in Latvia and Lithuania involved acquisition of shares of Lithuanian and Latvian subsidiaries from Rohé, subsequent sale of a minority stake to local management, advice on the shareholders agreement and certain post-closing corporate issues. The client was advised by SORAINEN's Raminta Karlonaitė and Renāte Purvinska.
