Mergers & Acquisitions Overview

Mergers & Acquisitions (M&A) is a key SORAINEN practice. The firm is constantly involved in major M&A transactions in the Baltic States and Belarus, as statistics from Mergermarket and other leading international M&A intelligence services clearly show (the Mergermarket league table for the period 2005-2016). SORAINEN's extensive track record includes over 900 domestic and cross-border M&A transactions (for examples, see under the Experience section) and private equity investments and exits (see also the description of the SORAINEN Private Equity Practice).

SORAINEN’s team of M&A lawyers employ their experience in capable and efficient management of complex and intensive projects: from preparing appropriate documentation and holding tactical negotiations to ensuring smooth deal closing. The firm’s specialists in competition, regulatory, finance, real estate and tax contribute to full service support delivery in M&A projects. SORAINEN deploys a truly integrated regional approach, which means optimal capacity to advise on M&A deals involving two or more of the Baltic States and Belarus plus substantially reducing the necessary time, energy and resources both for the client and for other advisers involved.

SORAINEN is recommended for its M&A Practice by international directories such as IFLR1000 (“Clients point to their size and integration within the Baltics and Belarus as an important advantage when it comes to M&A.”), The Legal 500 (“SORAINEN has ‘deep knowledge of cross-border mergers and provides highly appropriate advice’.”), Chambers Global and Chambers Europe (SORAINEN's strengths are its very professional approach, clear communications and quick and flexible response times according to the client's needs.").

In 2009, SORAINEN led the five main Baltic law firms in authoring the Baltic M&A Deal Points Study, an initiative repeated in 2011, 2013 and 2016 (see latest Baltic M&A Deal Point Study 2016). A similar initiative in Belarus in 2010 with five leading local law firms resulted in the first Belarusian M&A Deal Points Study plus the first of its kind in the CIS. Since 2011, SORAINEN has also been preparing the annual M&A and Private Equity Baltic and Belarus Transaction Guide, reporting on the latest regional M&A and private equity developments.

SORAINEN is available to act for investors, buyers and sellers, on all aspects of acquisitions, sales and mergers in the Baltic States and Belarus, including:

  • buy-outs (LBOs, MBOs, privatisations, other acquisitions);
  • structuring acquisitions and divestments (including financing and tax advice);
  • legal and tax due diligence;
  • merger control;
  • shareholder agreements;
  • share and asset sales and other exits;
  • acquisitions and disposals of real estate projects;
  • joint ventures;
  • corporate mergers, de-mergers and other reorganisations;

On December 2015, Mergermarket presented SORAINEN with the “Baltic M&A Legal Adviser of the Year 2015” award at the European M&A Awards ceremony in London.
