Continuously advising Hesburger, operator of one of the largest and most popular fast food restaurant chains in the Baltics, with over 100 restaurants, on chain development matters, supply contracts, real estate development, intellectual property, advertising, corporate issues and other legal matters.

Providing continuous support for Vaasan & Vaasan Group, a major bakery operator in the Nordics, on company, competition and general business law related matters in the Baltics. The Sorainen team also assisted Vaasan Group on its acquisition of the largest bakery chains in Latvia (Hanzas Maiznīca) and Lithuania (Vilniaus duona).

Advising Unilever, a worldwide supplier of fast moving consumer goods with principal businesses in the food, home care and personal care categories, on legal due diligence and acquisition of Ingman Ice Cream with its subsidiaries in the Baltics and Belarus.

Advising the Carlsberg Group, the fifth largest brewery group in the world, on consolidation of Alivaria local and Baltika export operations in Belarus and all legal aspects related to transfer of employees and assets, including contractual work, negotiations with stakeholders, tax and corporate advice.

Advising Nordzucker, one of the leading sugar producers in Europe, on its acquisition of Danisco Sugar, the largest sugar production and trade company in the Nordics and Baltic States (total transaction value - over EUR 750 million). Sorainen advised Nordzucker on transaction issues related to Danisco Sugar’s Estonian, Latvian and Lithuanian operations, including legal due diligence, transaction documentation and financing as well as merger control issues.

Assisting Bidvest Group, an international services, trading and distribution company, on its acquisition of Nowaco Lithuania, which also operates businesses in Estonia and Latvia. Nowaco is a leading player in the trade in food and food products (such as frozen fish, meats, vegetables) for wholesalers, retailers and the HoReCa segment in the Baltic States.

Advising a leading global premium drinks businesses on Estonian, Latvian and Lithuanian regulations concerning labelling of spirits and RTD (ready to drink) alcoholic beverages.

Advising Coopernic Alliance (an alliance of Europe’s major independent retailers – REWE Group (Germany), E. Leclerc (France), Colruyt (Belgium), Conad (Italy) and Coop (Switzerland)) on acquiring an 80% shareholding in Palink, operator of food retail chains IKI, Ikiukas and Cento. Palink is a major player in the Latvian and Lithuanian food retail sector.

Advising Palink, operator of food retail chains IKI, Ikiukas and Cento, on the sale to Mego of 100% shares in its subsidiary operating in Latvia. Upon completion of the transaction the retail chain, consisting of 51 retail shops in Latvia, will belong to Mego and will operate under its brand name.

Advising Hanzas Maiznīca, a leading Latvian bread producer, in relation to conclusion of a long-term lease agreement on office premises. The client moved its head office from its long-term location to new office premises in Riga.


Advising Metsäliitto Cooperative, the parent company of Metsä Group, a forest industry group with operations in almost 30 countries, on the divestiture of the entire share capital of its subsidiary Metsä Wood Eesti to the Estonian Combimill.

Advising a major US based forestry investment management company in acquiring the shares of an Estonian company owning and operating nearly 9,000 hectares of forestry assets.

Advising a global forest investment company in acquisition of about 600 forest units in Estonia from another foreign investors group. The transaction was unique due to legal due diligence being made after signing of the transaction and the large number of estates involved.

Advising Södra, the biggest cooperative of forest owners in Sweden, uniting more than 51,000 members. Our assistance was related to planning and implementing the merger of two Södra group companies based in Latvia.

Successfully advising a large regional forestry group in a court dispute on the assessment of VAT and corporate income tax (CIT). The main core of the dispute was the range of the diligence that a forestry company must observe while buying timber from other companies.
