Experience

Gerd Laub is a well-experienced lawyer in the field of financial markets. From September 2016, Gerd is contributing to Sorainen’s Banking, Finance & Insurance Practice Group as of counsel. As his main focus and responsibility, Gerd holds the position of Chief Legal Officer at Funderbeam, an Estonian start-up company that provides primary and secondary market solutions for early-stage companies by utilising blockchain technology.

Gerd specialises in equity and debt capital market matters - IPOs, placements, buy-backs, takeover bids and other regulatory issues. His focus is also on market infrastructures such as stock exchanges, other trading platforms, clearing and settlement systems, payment systems, and registries. Gerd is also proficient in all financial sector licensing and compliance matters, including the specifics of prudential regulation, business conduct rules, AML, etc. He also focuses on fin-tech solutions, and on related regulatory and legal matters.

Gerd has practised law since 2000. Before joining Sorainen, Gerd worked for the Estonian Financial Supervision Authority, SEB Enskilda Corporate Finance and other SEB Group entities in Estonia. In 2009-2016, Gerd acted as a senior in-house counsel and also as head of compliance within SEB Group entities in Estonia. With his in-depth experience in both legal and regulatory aspects, Gerd’s main focus areas were investment services, fund management and life insurance.

Gerd has actively contributed to law-making and policy decisions in financial sector legislation in Estonia. He participated in drafting the close-out netting provisions in Estonian law, revising the Estonian Central Securities Registry law and other amendments making the marketplace more efficient and user-friendly.

Gerd also shares his knowledge and experience with students at the Law Faculty at the University of Tartu where he has lectured on the Capital Markets Law and the Financial Law for several years.
