Karin Madisson is a partner and head of our Corporate Advisory Team in Estonia, which includes the Corporate, Employment and Investment Incentives Practices. She has been practising law since 1996.
Karin has been building up our Corporate Advisory Team in the Baltics and Belarus since joining the firm and has extensive experience in advising clients in corporate law matters from set-up of companies to share and asset deals, sell- and squeeze-outs, mergers (domestic and cross-border), restructuring, management and shareholder disputes, liquidation and bankruptcy, and has represented clients in court disputes. Karin has been involved in many company formations in the Baltic States, including advice regarding SE (Societas Europaea) establishment, setting up mandatory pension funds, insurance firms and bank branches. She has handled or supervised most of the complex corporate law cases in which the firm has been involved.
Karin's professional activity in restructuring and insolvency work includes advising clients in corporate reorganisation of their pan-Baltic operations, representing client interests in bankruptcy proceedings, protecting creditors' interests in insolvent companies, and assisting foreign bankruptcy trustees in international insolvency issues concerning Estonia. She acted as restructuring advisor in one of the very first proceedings in Estonia on the basis of the Restructuring Act and also advised one of the first cross-border mergers of insurance companies in Europe based on the European Union Cross-Border Mergers Directive.

Karin has written numerous articles published in economics and management magazines and newspapers in the Baltic States, and is also a highly acknowledged speaker. The topics of her master theses were "Protection of employees upon transfer of an enterprise" and "Duties and liabilities of company directors under German and Estonian law: a comparative analysis".
