• CORPORATE PRIVATISATIONS

  Advising Ingman Ice Cream, a leading Finnish ice cream manufacturer, on privatisation of the largest ice cream factory in Gomel, Belarus. Services included legal due diligence of the target company and advising throughout one of the most notable privatisation deals in Belarus in 2009.

  Assisting Riga City Council on privatisation of insurance company shares. Services included preparing a legal opinion and documentation package plus representation in litigation over conditions for privatising the client-owned health insurance company proposed by an applicant.

  Assisting Kotkan Energia, a major Finnish heat producer, on bidding for and acquiring Anne Soojus and Tartu Jõujaam, the municipal heat supply companies in Tartu, Estonia's second largest city. Services included support in negotiations with the municipality and strategic partners, drafting transaction documentation and performing pre- and post-acquisition legal due diligence.

  Assisting the Lithuanian Privatisation Agency (State Property Fund) in attempted privatisation of Lithuanian Airlines (LAL), the national air carrier, including elaborating the privatisation scheme, performing vendor legal due diligence and drafting privatisation documentation.

  Assisting a group of private investors in their contemplated privatisation of Lithuanian electricity distribution companies VST and RST. Services included legal due diligence on both companies, one of which was later acquired by the client.

  Advising the Latvian Privatisation Agency on privatisation of Preses nams, the largest printing house in the Baltic States, including vendor legal due diligence, drafting privatisation conditions and assistance in negotiations with potential investors, minority shareholders and management.

  Advising a Cypriot shipping company on attempted privatisation of Lietuvos jūrų laivininkystė (Lithuanian Shipping Company), a major Lithuanian shipping company with more than 40 years experience in carrying a wide range of cargos by sea.

  Assisting a leading Scandinavian chemical supplier serving customers in water-intensive industries in attempted privatisation of Tallinna Vesi, a company providing water supply and wastewater services in Tallinn, capital of Estonia, and its surrounding areas.

  Advising an international shipping company in relation to bidding in privatisation of a controlling shareholding Latvijas kuģniecība (Latvian Shipping Company), including preliminary legal due diligence plus commenting on and negotiating the proposed share purchase agreement.

  Assisting a Finnish gardening and horticultural company in attempted privatisation of two major greenhouse farms in Lithuania - Pagirių šiltnamiai and Kietaviškių gausa. Services included legal due diligence of the target companies and assisting with privatisation bids.

  Assisting a consortium of international investors in a tender for privatisation of the municipal heating company of a major Latvian city, including assistance with preparing the bid, negotiating with the municipality and the heating company and analysing the tender results.

  Advising Inspecta Group, the leading provider of inspection, testing and certification services in the Nordic area, in the privatisation of Tehnokontrollikeskus, a state-owned company providing mainly technical inspection and conformity assessment services. The value of the transaction was EUR 2.3 million.

• REAL ESTATE PRIVATISATIONS

  Advising Lode, the largest ceramic building materials manufacturer in the Baltics, on privatising a land plot in Latvia, including possible restrictions on privatising land in a national park.

  Assisting Riga City Council in privatising real estate in the centre of Riga where leading five-star Hotel de Rome is located. Services involved preparing the privatisation documentation package.

  Advising Suomen Projektivuokraus, currently a member of Cramo Group, a leading European construction sector rental services provider, on privatising a land plot in Harku municipality, Estonia.

  Assisting VAASAN, a major Scandinavian milling and bakery company, in its acquisition of the largest bakery chain in Latvia plus privatisation of the company's real estate throughout Latvia.

  Advising a leading international energy company on privatisation of the real estate and other assets plus business of gas-producing companies in Estonia and Latvia. Services included legal due diligence, preparing privatisation bids and drafting transaction documentation.

  Assisting a major European construction company in privatisation and development of a large land plot in Latvia for a shopping mall and business centre, involving the complex issue of redeveloping a soviet-era railway station. The value of the transaction exceeded EUR 30 million.
