• STRUCTURING AND FORMATION

  Assisting bidders in forming venture capital funds in Lithuania and Latvia under the JEREMIE initiative by the European Commission and the European Investment Fund plus assisting LitCapital Asset Management, a Lithuanian venture capital fund management company, in analysing alternative structures for its EUR 20 million fund LitCapital I formed in implementation of the JEREMIE initiative.

  Advising Eastern Europe Real Estate Investment Fund, a fund investing in Emerging Europe, in obtaining authorisation for operation of the first regulated closed-end real estate investment fund in Estonia. Advice included drafting of establishment documents, the prospectus (under the EU Prospectus Directive) and structuring the conversion of existing bonds into fund units through bridge financing.

  Advising Lords LB Asset Management, a premier provider of pan-Baltic investment management services, in obtaining authorisation for its investment fund management business and in structuring, authorising, marketing and operation of one of the first regulated closed-end real estate investment funds in Lithuania. Advice included the structuring of distribution and co-investment arrangements.

  Assisting Baltic Property Trust, an international real estate asset manager specialising in Central, Eastern and Northern Europe, in obtaining authorisation for its investment fund management business and in structuring and authorising the regulated closed-end real estate investment fund in Estonia.

  Advising Nordea, the biggest financial group in the Nordic countries, in obtaining authorisation for its pension fund management business and in structuring and authorising second and third pillar pension funds in Estonia and Latvia.

  Advising Broadgate Capital, an international real estate fund manager and developer, in structuring and formation of unregulated real estate investment funds in the Baltics.

• OFFERINGS

  Advising Marguerite Fund, a pan-European equity fund investing in areas of climate change, energy security and trans-European networks, on matters related to offering the fund's shares to professional investors in Lithuania.

  Assisting an established Baltic fund management company active in Emerging Europe on passporting private and public offerings of its hedge fund and real estate fund units in Lithuania. Advice included the analysis of the capacity of Lithuanian institutional investors to invest into such funds.

• LIQUIDATION

  Advising SEB Investicijų valdymas, one of the largest asset management and pension fund management companies in Lithuania, on the issues related to liquidation of their UCITS funds in Lithuania.
