  • ENERGY

    Advising Polish company PKN Orlen, a leading CEE crude oil refiner, on its two-stage acquisition of Mažeikių Nafta, a major oil refinery in Lithuania with wholesale and retail activities across the Baltics: a controlling stake for USD 2.34 billion (approx EUR 1.72 billion) and the remainder in 2009 from the Lithuanian Government for USD 285 million (approx EUR 209 million).

    Advising LOTOS Petrobaltic, a leading Polish oil exploration and production company and part of the LOTOS Group, on acquisition of a controlling stake in Geonafta group, the largest oil exploration and production group in Lithuania.

    Assisting Iberdrola, an international leader in wind energy, in its acquisition of Raisner, an Estonian company promoting construction of a wind farm in Estonia. With a total project value of EUR 200 million, this was one of the largest M&A transactions in the Estonian energy sector to date.

    Advising on the sale of Naujoji energija, a company developing a 40 MW onshore wind farm which currently stands as the largest wind farm project in Lithuania, to Estonian investment fund Freenergy and Scandinavian energy company Vardar Eurus.

  • FINANCIAL SECTOR

    Advising Latvian Mortgage and Land Bank and the Latvian state on the Parex banka bailout, involving purchase of a 84.83% stake in the bank, government investment of approx EUR 1 billion, and a EUR 775 million state guarantee. SORAINEN also assisted the Latvian Government and Parex banka in the sale of 25% of Parex to European Bank for Reconstruction and Development (EBRD) for EUR 81.82 million and obtaining a EUR 22 million subordinated loan from EBRD.

    Assisting International Finance Corporation (IFC), a member of the World Bank Group which provides investments and advisory services to build the private sector in developing countries, in its acquisition of a 19.99% stake in Belarusky Narodny Bank, a commercial bank controlled by the Bank of Georgia, for USD 8.2 million (approx EUR 5.9 million).

    Advising Vienna Insurance Group, a high-quality insurance services provider in Central and Eastern Europe, on its acquisition of Seesam Life Insurance, the largest life insurance company in the Baltics. This transaction is notable as the first direct acquisition of shares in a SE (the new European company type) in the Baltics and one of the first in Europe.

  • FOOD & AGRICULTURE

    Advising the leading Russian dairy company Unimilk in a transaction involving merger of Unimilk's business with Danone's Fresh Dairy Product business in the CIS area, including Belarus.

    Assisting Nordzucker, a leading European sugar producer, in its acquisition of Danisco Sugar (now Nordic Sugar), including its Baltic operations, for a total of over EUR 750 million.

    Advising Ingman Ice Cream, a leading Finnish food group, on privatisation of the Gomel ice cream factory, a major ice cream producer in Belarus.

    Advising Rīgas Miesnieks and its shareholder Rakvere Lihakombinaat on the acquisition of a majority shareholding in the Latvian meat processing company Jelgavas gaļas kombināts.

  • TRADE & DISTRIBUTION

    Advising Coopernic Alliance, an alliance of Europe's major independent retailers - REWE Group, E.Leclerc, Colruyt, Conad and Coop, on its acquisition of a controlling shareholding in Palink, which operates retail chains IKI, Ikiukas and Cento in Lithuania and Latvia, and is one of the top companies in the Baltics by turnover.

    Advising the pharmaceuticals operation of Bayer HealthCare Pharmaceuticals, a leading global innovative company in the healthcare and medical products industry, on its acquisition of Sagmel, a developer, manufacturer and marketer of OTC drugs and nutritional supplements in the Baltics and Belarus.

  • REAL ESTATE & CONSTRUCTION

    Advising SEB Group, a leading universal bank in Sweden and the Baltics, operating in total in 21 countries, in a landmark transaction involving sale and lease-back of the entire real estate portfolio of SEB in the Baltics, a total of 63 real estate objects. With a value of approx EUR 200 million, it is the largest and probably most complex real estate transaction in the Baltics to date.

    Advising Citycon, the Finnish listed property investment company, on its acquisition of Rimvesta, owner of the Mandarinas Shopping Centre in Lithuania, and in acquiring the Rocca al Mare Shopping Centre for EUR 60 million and a shopping centre for EUR 16.5 million in Estonia. These transactions were then cited as the major property M&A and benchmark transactions in Estonia and Lithuania.

  • TECHNOLOGY, MEDIA & TELECOMS

    Advising eBay, the world's leading e-commerce company, on its acquisition of Skype Technologies, the world leader in internet communications with significant operations in Estonia, for a total up-front price of approx EUR 2.1 billion plus performance based consideration. This is probably the largest M&A transaction to date involving Baltic target.

    Assisting Lenovo, an innovative international computer technology company, in its acquisition of the personal computing division of IBM, a multinational computer, technology and IT consulting corporation, in particular its Baltic operations. Completed in 2005, this was one of the largest M&A transactions in the IT sector worldwide.
