  • VENTURE CAPITAL INVESTMENTS

    Assisting Massi Miliano, an Estonian apparel biorobotics systems start-up, in obtaining seed capital from the Estonian Development Fund and a conglomerate of venture capital investors. The capital raised was used for international expansion of Fits.me, the virtual fitting room for online retailers.

    Advising Citi Venture Capital International, a Citigroup private equity firm focusing on developing markets, on growth capital investment in leading Lithuanian pharmaceutical company Sanitas (the largest private equity investment in Lithuania in 2006) plus assisting with increasing the Sanitas stake by a further 20.3% (the largest private equity transaction in Lithuania in 2008-2009).

    Advising Accel Partners, a global venture and growth equity firm, on growth capital investment in Lithuanian company GetJar. Since the investment GetJar has grown into the second largest mobile applications software company worldwide.

    Advising MarkIT, the largest e-purchasing system for IT goods in the Baltics, on its share issue to Ambient Sound Investment, a private equity group established by the four founding engineers of Skype.

    Advising Citi Venture Capital International, a Citigroup private equity firm focusing on developing markets, on growth capital investment in IKI, the second largest retail chain in Lithuania, enabling its expansion to Latvia (one of the largest private equity investment transactions in the Baltics in 2005).

    Assisting MTVP, a CEE venture capital fund manager focusing on the TMT sector, with its investment in Rate Solutions, a leading software developer for social networking websites in CEE and CIS countries.

    Advising the European Bank for Reconstruction and Development on its acquisition of a 25.5% stake in West Ost Union, operator of Buslik, the largest children's goods retail chain in Belarus.

    Advising the European Bank for Reconstruction and Development on its acquisition and subsequent sale of a minority stake in LHV Asset Management, an Estonian pension fund management company, and subsequently in the first local merger of fund management companies in Estonia.

  • PRIVATE EQUITY INVESTMENTS AND BUYOUTS

    Advising BaltCap, the leading independent private equity firm focusing on mid-market buyout and expansion capital investment in the Baltic States, on its acquisition of a minority stake in TREV-2 Group, Estonia's leading road infrastructure construction company.

    Assisting Tiger Global, an international USD 4.5 billion (approx EUR 3.5 billion) hedge fund, and Digital Sky Technologies, a global internet holding company, in acquiring Forticom, developer and operator of the leading social networking websites in the Baltics, Poland, Russia and other CIS countries.

    Assisting private equity funds managed by Capital International in acquiring Lode, the largest producer of ceramic building materials in the Baltics. This was the first major public takeover in Latvia involving a full public-to-private process.

    Assisting AAC Capital Partners, a Northern European mid-market buyout firm, on its acquisition of Empower, a leading service provider for the power, telecoms and industrial sectors in Finland, Sweden and the Baltics.

    Assisting SEB Venture Capital, the venture capital arm of SEB - a major financial group in the Baltics, on equity investment in Viginta, one of the largest cable TV and internet providers in Vilnius, Lithuania, plus subsequent acquisitions by Viginta of two regional cable TV companies in Lithuania.

  • EXITS

    Advising MTVP, a CEE venture capital fund manager focusing on the TMT sector, on sale of MTV Networks Baltic, operator of the MTV music channel in Estonia, Latvia and Lithuania, to Ananey Communications, as well as divestment of Hostex to Baltic Data Center, a major Lithuanian internet web hosting services provider.

    Advising Citi Venture Capital International, a global private equity firm, on exercising its preferential rights in Tallink Grupp, one of the largest passenger and cargo shipping companies in the Baltic Sea region, through an initial public offering of a portfolio company and listing the shares on the Tallinn Stock Exchange plus a subsequent rights issue during secondary listing of the portfolio company's shares.

    Advising a leading European investment bank on sale of its shareholding in the largest Baltic bank.

  • FUND FORMATION AND RAISING

    Advising Lords LB Asset Management, a pan-Baltic investment management firm, in forming and raising Lords LB Baltic Fund I. This was the first major fund formed in Lithuania under the new Law on Collective Investment Undertakings.

    Advising Broadgate Capital, an international real estate fund manager and developer, on establishing and structuring a real estate investment fund in the Baltics.

    Assisting bidders in forming venture capital funds in Lithuania and Latvia under the JEREMIE initiative by the European Commission and the European Investment Fund plus assisting LitCapital Asset Management, a Lithuanian venture capital fund management company, in analysing alternative structures for its EUR 20 million fund LitCapital I formed in implementation of the JEREMIE initiative.

    Advising GILD Real Estate, a Baltic real estate fund management company active in Emerging Europe, on launching Eastern Europe Real Estate Investment Fund, the first licensed closed-end fund in the Baltics plus assisting the fund with performing the registered public offering of its units.
