Adevinta Netherlands N.V., a member of Adevinta Group, a leading online classifieds marketplace provider (eBay Kleinanzeigen, Leboncoin, Kijiji etc.) operating in numerous jurisdictions, has carried out the sale of its shares in Belarusian subsidiaries to local management.
The Sorainen team supported the client throughout the whole project, assisting with various legal issues, including pre-closing coordination and proposing the most suitable transaction structure, advising on tax implications, advising on the share and IP transfer and assisting with other post-closing actions.
This was a highly complex transaction in which a significant number of the interested parties had non-standard commercial needs which required innovative legal solutions.
