SORAINEN assisted a consortium of AMP Capital Investors and Infracapital Partners II in acquiring one hundred per cent equity stake in Adven Group, a provider of sustainable and business critical energy infrastructure and services in Finland, Sweden and Estonia.

The new owners see significant growth potential in the business over the next five to seven years. Boe Pahari, Global Head of AMP Capital Infrastructure Equity, said: “I am thrilled to partner with Infracapital to secure Adven for our investors. The asset is a great fit for AMP Capital’s global infrastructure platform due to its attractive risk-return profile and growth prospects. Energy is also a key target area for AMP Capital due to its significant growth opportunities.”

Adven, with over 30 years of experience in reliable energy delivery, currently employs 215 people. In Estonia, Adven provides low carbon, co-located energy infrastructure to industrial users and district heat solutions, as well as industrial energy and regulated gas distribution. AMP Capital is a leading investment house with USD120 billion in funds (as of 30 June 2015), while Infracapital has over GBP 2.4 billion of funds under management.

SORAINEN conducted legal due diligence of Adven Eesti, assisted in preparation of the transaction documentation and closing and also in post-closing matters. The SORAINEN team led by partner Kaupo Lepasepp also included senior associate Piret Lappert and associate Juulika Aavik.
