I am a lead lawyer in Corporate and M&A practice at Sorainen Belarus, advising on corporate, M&A, private equity and venture capital matters. I provide full legal and organisational support from the stage of exploring investment opportunities till the exit, including merger clearance, legal due diligence and various transactional matters. Having worked in Sorainen since 2011, I have helped to build the team which is one of the most experienced in the Belarusian legal market in cross-border transactions.
Transactional lawyer. As a transactional lawyer, I see the matter from all perspectives, but especially the business itself and the people involved, since there is a real person behind every legal or business issue. This helps me to deal with difficult negotiations in a friendly and efficient manner – to keep calm and focuse on getting the deal done. I also believe that not every transaction shall be closed, and support the client if there is an one-sided game in the deal.
Venture ecosystem. I am a Head of Startup and Private Equity & Venture Capital sector groups in Belarus and a part of Technology, Media & Telecommunications sector group. Dealing with these actively evolving spheres are the most inspiring part of my work, since I believe that entrepreneurs are the main driver in society, who push the development of all spheres and increase prosperity in the country. I spend a lot of time dealing with local and foreign investors and startups, sharing my knowledge and experience, conducting seminars and workshops, as well as changing the legal framework and practices in Belarus.
Game-changing and diverse M&A expertise. I have had the privilege of advising clients in the most remarkable and challenging deals in Belarus in recent years. Only in 2018 I advised Helmes on acquisition of a majority stake in SolbegSoft, one of the first and largest projects to take advantage of Belarus’ nascent Digital Country regime introduced by Presidential Decree # 8 in March 2018; RocketData.io on investment round leading by RBF Ventures – the first venture capital transaction involving direct equity investment in a Belarusian startup structured within the new Belarusian legal framework; Duisburger Hafen on acquisition of shares in the Great Stone Industrial Park Development Company, which was the first ever western investor entered the company.
Diverse business cultures. I have extensive experience of leading teams and projects, involving a lot of participants from different spheres and countries, dealing with state-owned enterprises and innovative businesses, mature entrepreneurs and young startupers. Belarus is a unique country since it is balancing between Western countries, CIS and China. I worked with all 3 directions and can share and implement my knowledge of the respective specifics and differences.
