Rimi Baltic has signed a share purchase agreement to acquire HAVI Logistics companies in Latvia, Lithuania and Estonia. This is a significant step in Rimi’s development, strengthening the competitiveness of its supply chain in the region. The transaction is still subject to approval by the competition authorities in all Baltic countries.

About the deal

In the transaction, Rimi Baltic acquires 100% of the share capital of SIA Havi Logistics, which owns Havi Logistics UAB and Havi Logistics OU, resulting in approximately 800 employees joining the Rimi Baltic Group. Havi Logistics in Latvia, along with its subsidiaries in Estonia and Lithuania, offers warehouse services encompassing a broad range of activities, including goods handling, picking, labelling, sorting, return logistics, and other services that ensure efficient and accurate order fulfilment.

A purchase agreement has now been signed; once the transaction has been completed and approved by the supervisory authorities, the gradual integration of the two companies will begin,while smooth day-to-day operations and services continue to be ensured for customers..

Our team and involvement

Sorainen supported Rimi Baltic throughout the whole transaction process, including performing the legal due diligence, drafting and negotiating transaction documents, and preparing and filing the notification on the merger. We will continue supporting the client until the transaction is completed. Our support covered intellectual property and IT law matters, as well as competition law issues and corporate law aspects.
