We assisted Sika, an international developer and producer of systems and products for the construction sector and the motor vehicle industry, in its acquisition of BelINECO, a Belarusian company specialising in production of polyurethane foams. BelINECO is based near Brest and has been operating since 2008. The company supplies its products to the Kazakh, Russian, and Ukrainian markets.

Sika has already been represented in Belarus prior to the acquisition of BelINECO. The local subsidiary Sika Bel focuses on manufacture of concrete admixtures and additives, as well as distributing products from other Sika factories. With the acquisition of a second subsidiary in Belarus, Sika plans to improve its capacity for production of polyurethane foams and gain access to new trade distribution channels.

Our support for Sika covered legal due diligence, negotiating and drafting transaction documents, obtaining consent of the antimonopoly authority, as well as assisting at signing and closing. The project team consisted of partner Maksim Salahub, senior associate Viktoryia Mikhnevich, and associate Aliaksei Vashkevich.
