We advised SigmaRoc PLC, a London-listed European lime and minerals group, on its acquisition of 100% of the shares in AB Dolomitas for EUR 110 million on a debt-free and cash-free basis, plus a further EUR 8 million for certain non-core assets. The consideration comprises EUR 90 million in cash and EUR 20 million in SigmaRoc PLC shares issued to the sellers.
AB Dolomitas is a Lithuanian public limited company established in 1964, engaged in the quarrying, processing and sale of dolomite and related mineral materials. The company produces approximately 3.5 million tonnes of dolomite annually, holds around 25 years of reserves and resources, and offers more than 40 product variants, including mineral fillers.
In 2025, the company reported revenue of EUR 70 million. Following completion, AB Dolomitas will operate as an integrated business unit within SigmaRoc PLC’s existing Baltic platform, with the acquisition expected to be earnings-enhancing from 2027. The transaction is expected to complete in Q4 2026, subject to regulatory approvals.
