We assisted the Canadian company Rosizeil Importing Co. Inc. in the sale of furniture manufacturer Metalas ir mediena, which operates under the brand METAWOOD.
90% of the shares were acquired by the Luxembourg fund KJK III Participations S.a r.l., and the remaining 10% by the investment management company GS Invest.
Rolanda Gineikienė, CEO of METAWOOD, comments that the company’s priorities for the upcoming year are modernisation and quality. Investments are planned in the latest technologies and advanced tools to create even greater value for their clients.
The store furniture manufacturer employs 624 people and collaborates with luxury and premium segment clients, primarily corporate groups such as LVMH, Kering, and Capri Holdings. The company produces furniture for airport and ship stores, beauty product retail spaces, and “shop-in-shop” retail locations.
Last year, Metalas ir mediena reached EUR 43 million in product sales, earned nearly EUR 3.9 million in net profit and distributed EUR 3.3 million in dividends to shareholders.
METAWOOD clients are based in Europe, North and South America, and the Middle East. In 2023, Metalas ir media established a subsidiary in the United States.
Our team and services
Our team, consisting of partner Sergej Butov and counsel Raminta Karlonaitė, advised the client on legal matters related to the transaction.
In the transaction, seller warranty insurance was used: the buyer insures against the warranties provided by the seller for the company, and if the warranties are incorrect, the losses are covered by the insurance company. According to partner Sergej Butov, this instrument is well-established in Scandinavia and Poland, but in Lithuania, it is only starting to be adopted more widely.
