We advised global e-commerce search technology company Nosto on acquiring 100% of shares in Lithuanian e-commerce startup SearchNode.

According to Nosto, the strategic acquisition of SearchNode’s award-winning search technology will allow its clients to implement site-wide personalisation, merchandising, segmentation and testing strategies natively to optimise the entire shopping journey.

SearchNode has created a search engine for e-stores used by more than 100 customers worldwide, including Dechatlon, Euronics and Douglas. According to the company, the SearchNode search engine is among the top five in the world.

Established in Finland in 2011, Nosto offers analyses of consumer behaviour, which allow e-merchants to provide automated and personalised recommendations in real time. Nosto has about 150 employees and has offices in Los Angeles, New York, Sydney, London, Paris, Berlin, Stockholm and Helsinki, and now in Lithuania as well.

We assisted the client in preparing the acquisition documentation and advised on corporate, employment and regulatory law issues. Our team also conducted legal due diligence on the target company.
