We advised Hõbevara, a real estate holding company of Silberauto group, upon acquiring a 90% shareholding from Arealis Holding in Shnelli Ärimaja, owning and operating rentable business premises located at the centre of Tallinn, Estonia.

Premium real estate

Shnelli Ärimaja owns the right of superficies of Toompuiestee 35. The A-class office building, located in the heart of Tallinn, serves as headquarters for well-known Estonian brands such as Nordecon, one of the largest construction groups in Estonia that operates in nearly every segment of the construction market. The property itself is owned by Estonian Railways who will regain the right of superficies when the contract expires in 2027 unless a new contract is signed. The transaction was subject to merger control and was closed following approval from the Estonian Competition Authority.

Our services and client team

We advised the client in all stages of the transaction starting from the due diligence process, drafting and negotiating the Share Purchase Agreement and Shareholders Agreement, merger clearance process, and closing preparations. The transaction was extraordinary due to rare option schemes applied.
