We advised Pipedrive, a CRM platform for small and medium-sized businesses, on its acquisition of 100% of shares in Outfunnel, an Estonian sales and marketing automation software startup and the top-rated app on the Pipedrive Marketplace.
Connecting CRM with marketing tools
By integrating Outfunnel’s technology, Pipedrive aims to provide customers with a seamless connection between CRM and marketing tools, eliminating the need for separate integrations and enabling a more unified view of customer data.
“A CRM that doesn’t connect with your marketing tools is only solving half the problem,” said Paulo Cunha, CEO of Pipedrive. “By bringing Outfunnel directly into Pipedrive, we’re removing that burden and making connected sales and marketing a seamless part of the core experience.”
Our services and client team
We advised Pipedrive throughout the entire transaction lifecycle, from structuring and negotiating the deal through to signing, closing and post-closing matters. Our work included transaction structuring, the preparation and negotiation of acquisition documentation, signing and closing arrangements, employment and management matters, tax aspects, competition law considerations, and integration-related issues. The matter was notable for its multidisciplinary nature, requiring close coordination across corporate, employment, tax and competition law workstreams throughout the transaction.
Our team was led by partner Piret Jesse, who supervised the transaction and the key negotiations, together with counsel Pirkko-Liis Harkmaa, who advised on employment and management arrangements; and associate Karina-Anette Kiristaja, who coordinated the closing process.
The wider team included partners Kaido Künnapas and Kätlin Krisak, counsel Piibe Lehtsaar, senior associate Vladislav Leiri, associate Eva Lotta Penjam, and assistant lawyer Elisabeth Lauri.
