I am a partner of the firm’s Corporate, M&A and Employment practice, with a primary focus on corporate law and significant experience in the M&A field. I also serve as a regional co-head of the firm’s Defence sector group.

Professional highlights

Covering full life cycle. With over 20 years of experience in corporate and M&A law, I advise local and international clients on corporate matters throughout the lifecycle of their businesses. My areas of expertise include cross-border mobility projects, quite often covering all three Baltic States (and beyond), formations of holdings and group structuring advice, and other complex corporate matters. I also advice clients on corporate governance matters, shareholder relationships and shareholder disputes, including governance conflicts, rights balancing and dispute prevention.

Defence-sector projects. As regional co-head of Sorainen’s Defence sector group, I advise various defence clients from setups until primes on various corporate aspects of their lifes: advising on the best governance structures and regulatory matters relevant to defence-sector projects, joint venture formations, relationships with governments, ministries of defence and other stakeholder. My work includes helping businesses align their corporate needs with evolving defence-sector regulation across the Baltics. I am also regularly featured in regional defence-sector legal analysis and commentary.

Joint venture with Rheinmetall. I have advised Giraitės ginkluotės gamykla, the largest military and civilian ammunition manufacturer in the Baltics, on entering into joint venture with the German defence technology company Rheinmetall and the Lithuanian energy transmission and exchange group EPSO-G. Joint venture company will build a plant manufacturing 155-mm artillery shells. According to the preliminary calculations, total investment in the facility may reach around EUR 260 million.

Large-scale restructuring of state-owned road maintenance companies. I was responsible for the successful merger of 11 state-owned road maintenance companies into a single unit. After completing the merger, a new company, Kelių priežiūra AB, was formed. This company employs more than 2 000 employees and takes care of the everyday maintenance of all the sate-owned roads in Lithuania.

Improving the business environment. As an active member of an expert group that reviews and updates Lithuanian company law, I contribute to improving the country’s legal business environment. I also served on a steering committee formed by the Ministry of Economy to advise the government on improving the country’s legal landscape in company law. Finally, I am also an active member of the Regulatory Group at the Baltic Institute for Corporate Governance.
