Jane Eespõld, a senior associate, has been practising law since 1997.

Jane has extensive experience in advising major international and local financial institutions and investors on legal issues related to securities markets, investment services, banking transactions and project financing.

In the field of financial services and regulation, she advises clients, among other, on licensing of credit institutions, fund management companies and payment institutions; cross-border service provision; dealings with supervisory authorities and compliance with supervisory requirements and anti-money-laundering regulations. She also assists clients in the field of financial services and products, including development of new products.

Jane has extensive experience in advising on establishment of investment funds, private equity funds and pension funds as well as on registration of these funds with the supervisory authorities, and fund management (including investments and divestments).

She advises clients on planning and carrying out bond issues, including structuring the transaction and drafting and negotiating bond issue documentation, as well as on restructuring bonds, and on issues related to violation of bond terms. She assists clients with loan and structured finance transactions, including drafting and negotiating facility and collateral agreements. Jane has also advised clients on issues related to the legal feasibility and structuring of PPP (public and private partnership) transactions.

In the field of insurance, Jane has assisted clients mainly in relation to cross-border activities and supervisory compliance as well as development of insurance products.

Jane is a Certified Adviser on the First North alternative marketplace in the Baltic States, while Sorainen is one of the three law firms meeting the requirements for this status.

Prior to joining Sorainen, Jane worked for the largest commercial bank in Estonia, Hansabank (currently Swedbank) for seven years. She also worked for two years as an audit manager at the Estonian State Audit Office where she led local government audits.
